INFORMATION CONTAINED IN THIS FORM 6-K REPORT

On August 27, 2026, Eastern International Ltd., a Cayman Islands Company (the “Company”) entered into a Securities Purchase Agreement (the “Agreement”) with Mr. Albert Wong, the Chairman of the Board of Directors and Chief Executive Officer of the Company (the “Purchaser”). Pursuant to the Agreement, the Company will issue and sell 200,000 Series B Preferred Shares of the Company (the “Shares”) to Mr. Wong at a price of US$1.00 per share, for an aggregate purchase price of US$200,000. Each Series B Preferred Share has 100 votes at the general meeting of the Company, and every two Series B Preferred Shares are convertible into one ordinary share of the Company at the holder’s option. The designation and issuance of Series B Preferred Shares were approved by the special committee of the Board and the Board of Directors of the Company.
