EXPLANATORY NOTE

On February 4, 2025, SHL Telemedicine Ltd. (the “Company”) issued a press release, a copy of which is furnished herewith as Exhibit 99.1. In the press release, the Company announced that it has appointed Lior Haalman to serve as the Company’s new Chief Financial Officer, effective March 1, 2025. Amir Hai, the Company’s current Chief Financial Officer, announced his resignation, which will be effective upon Mr. Haalman assuming the position of Chief Financial Officer.

This Form 6-K is incorporated by reference into the Company's Registration Statement on Form S-8 filed with the Securities and Exchange Commission on June 9, 2023 (Registration No. 333-272546).
