Closing of Private Placement

As previously disclosed on SOS Limited’s (the “Company”) current report on Form 6-K filed with the Securities and Exchange Commission on September 21, 2026, the Company entered into a securities purchase agreement (the “SPA”) dated September 15, 2026 with certain “non-U.S. Persons” (the “Offering”).

On September 22, 2026, the transaction contemplated by the SPA consummated when all the closing conditions of the SPA have been satisfied (the “Closing”).
