EXPLANATORY NOTE

This Registration Statement on Form 8-A (this “Form 8-A”) is being filed by Hyliion Holdings Corp. (the “Company”), with the Securities and Exchange Commission (the “SEC”) in connection with the dual listing of its common stock, par value $0.0001 per share (the “Common Stock”), with the NYSE Texas, Inc. under the trading symbol “HYLN.” The Common Stock is currently listed on the NYSE American LLC under the symbol “HYLN.”

Item 1. Description of Registrant’s Securities to Be Registered.

The description of the Common Stock, of the Company, as may be amended from time to time, contained in Exhibit 4.3 to the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2025 (File No. 001-38823), filed with the Securities and Exchange Commission on February 25, 2026, is incorporated herein by reference.

The Company expects the listing and trading of the Common Stock on NYSE Texas, Inc. to commence on September 22, 2026 under the trading symbol “HYLN.”
