Item 1. Description of the Registrant’s Securities to be Registered

The securities to be registered hereby consist of the 8.00% Notes due 2031 (the “Notes”) of Saratoga Investment Corp., a Maryland corporation (the “Registrant”). The Notes are expected to be listed on the New York Stock Exchange under the trading symbol “SAX” and to trade thereon within 30 days of issuance.
