Item 2.02

Results of Operations and Financial Condition.

On February 3, 2021, UWM Holdings Corporation, (the “Company”) issued a press release announcing the results of United Wholesale Mortgage (“UWM”) for the fourth quarter and full year ended December 31, 2020. Additionally, the Company announced that its Board of Directors had declared its first regular quarterly dividend of $0.10 per share on the outstanding shares of Class A Common Stock. The dividend is payable on April 6, 2021 to stockholders of record at the close of business on March 10, 2021. A copy of the Company’ press release is being furnished herewith as Exhibit 99.1 and is incorporated herein by reference in its entirety.
