Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers, Compensatory Arrangements of Certain Officers.

Departure of Director

Effective April 1, 2025, following ten years of board membership, Israel Niv retired as a member of the board of directors (the “Board”) of Actelis Networks, Inc. (the “Company”), and as member of the committees of the Board. Mr. Niv’s decision to step down from the Board was not due to any disagreements with the Company relating to the Company’s operations, policies or practices.

Effective as of April 1, 2025, as a replacement for Mr. Niv, the Board appointed Julie Kunstler as Chair of the Compensation Committee and a member of the Governance and Nominating Committee, and, in addition, Gideon Marks was appointed as a member of the Compensation Committee.
