Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 22, 2023, James Huang resigned as Chairman and member of the board of directors (the “Board”) of Alaunos Therapeutics, Inc. (the “Company”) with immediate effect in order to focus on other business pursuits. Mr. Huang’s resignation was not the result of any disagreement on any matter relating to the Company’s operations, policies or practices. With Mr. Huang’s departure, the Board has elected Holger Weis as the Company’s new Chairman of the Board.
