Other Events.

On December 14, 2022, BioVie Inc. (the “Company”) filed a prospectus supplement (the “Prospectus Supplement”) in connection with the previously disclosed Controlled Equity Offering^SM Sales Agreement, dated August 31, 2022 (the “Sales Agreement”), between the Company and Cantor Fitzgerald & Co. and B. Riley Securities, Inc. as sales agents (the “Agents”), pursuant to which the Company may offer and sell, from time to time, through or to the Agents, shares of the Company’s Class A common stock, par value $0.0001, of an aggregate offering price of $17.5 million (the “Shares”).

The issuance and sale, if any, of the Shares by the Company under the Sales Agreement will be made pursuant to the Company’s effective registration statement on Form S-3 (Registration Statement No. 333-252386), filed with the U.S. Securities and Exchange Commission on January 22, 2021 and declared effective on February 2, 2021, the base prospectus contained within the Registration Statement, and the prospectus supplement that was filed with the SEC on December 14, 2022.

A copy of the opinion of Sherman & Howard L.L.C. relating to the validity of the Shares that may be sold pursuant to the Sales Agreement is filed herewith as Exhibit 5.1.
