Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 31, 2026, Vice President and Corporate Controller and Chief Accounting Officer, Richard A. Hoker, informed CF Industries Holdings, Inc. (the “Company”) that he intends to retire from employment with the Company effective as of March 3, 2027.
