Item 8.01. Other Events.

The Board of Directors of Civista Bancshares, Inc., Sandusky, Ohio has approved and declared a quarterly dividend of 18 cents per common share, consistent with the prior quarter, to shareholders of records of August 4, 2026, payable on August 18, 2026. A copy of the press release is attached hereto as Exhibit 99.1.
