Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 16, 2024 the Compensation and Human Resources Committee of the Registrant’s Board of Directors increased the annual base salary of Dorith Hakim, the Registrant’s Chief Executive Officer and President, by 4.8% to $385,000, effective as of May 1, 2024.
