    Item 8.01

    Other Events.

    As previously announced, on February 1, 2026, Devon Energy Corporation, a Delaware corporation (the “Company” or “Devon”), Cubs Merger Sub, Inc., a Delaware corporation and a direct, wholly-owned subsidiary of the Company (“Merger Sub”), and Coterra Energy Inc., a Delaware corporation (“Coterra”), entered into an Agreement and Plan of Merger (the “Merger Agreement”). The Merger Agreement provides that, among other things and upon the terms and subject to the conditions set forth in the Merger Agreement, Merger Sub will merge with and into Coterra (the “Merger”), with Coterra surviving the Merger as a wholly-owned subsidiary of the Company.

    The closing of the Merger is subject to, among other things, the satisfaction or waiver of certain conditions, including the expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (“HSR Act”). Devon and Coterra each filed an HSR Act notification with the Federal Trade Commission and the Antitrust Division of the United States Department of Justice on March 2, 2026. The applicable waiting period under the HSR Act expired at 11:59 p.m. Eastern Time on April 1, 2026. Accordingly, the condition to the Merger relating to the expiration or termination of the waiting period under the HSR Act has been satisfied. The closing of the Merger is expected to occur in the second quarter of 2026, subject to the satisfaction or waiver of other customary closing conditions specified in the Merger Agreement.

The registration statement on Form S-4 was declared effective by the SEC on March 26, 2026.
