Item 8.01. Other Events.

As previously disclosed on its current report on Form 8-K filed on December 11, 2023, Discover Financial Services (the “Company”) announced Michal G. Rhodes as the new Chief Executive Officer and President of the Company and President of Discover Bank (the “Bank”), as well as a director of the Company and the Bank effective as of March 6, 2024, or such earlier date as mutually agreed.

On February 1, 2024, Mr. Rhodes officially joined the Company and the Bank in the roles indicated and with his employment effective as of such date. John Owen, who has been serving as Interim Chief Executive Officer and President since August 14, 2023, will continue to serve as a director of each of the Company and the Bank effective as of February 1, 2024.
