Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 10, 2025, Edward S. Hyman, Chairman of Evercore ISI, notified the Company of his decision to transition to a non-executive officer role within the Company, where he will continue to support the Evercore ISI business. Mr. Hyman’s decision was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
