Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On February 26, 2025, Farmers National Banc Corp. (the “Company”), announced Timothy F. Shaffer’s decision to retire effective April 16, 2025. Mr. Shaffer is currently the Senior Executive Vice President, Chief Banking Officer, and Chief Credit Officer of the Company and of The Farmers National Bank of Canfield, the national banking subsidiary of the Company. Mr. Shaffer was appointed as Chief Banking Officer effective January 15, 2025, as part of the Company’s succession planning and commencement of an executive search to identify a successor Chief Credit Officer.
