Other Events.

On October 23, 2023, Hess Corporation (the “Company” or “Hess”) and Chevron Corporation (“Chevron”) issued a joint press release announcing entry into a definitive agreement for Chevron to acquire all of the outstanding shares of the Company in an all-stock transaction. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
