Other Events.

On November 12, 2024, Houlihan Lokey, Inc. (the “Company”) filed with the Securities and Exchange Commission a prospectus supplement pursuant to Rule 424(b) under the Securities Act of 1933, as amended, relating to the possible resale of up to 5,406 shares of the Company’s Class A common stock, $0.001 par value per share ( “Class A common stock”), issuable upon conversion of an equal number of shares of the Company’s Class B common stock, $0.001 par value per share ( “Class B common stock”), issued to the selling stockholders in connection with the Company’s acquisition in October 2024 of Prytania Solutions Limited, a company organized under the laws of England and Wales. The Company is filing as Exhibit 5.1 to this Current Report on Form 8-K an opinion of its counsel, Latham & Watkins LLP, regarding certain Delaware law issues concerning the shares of Class A common stock that may be offered and sold pursuant to the prospectus supplement and the accompanying prospectus.
