On July 22, 2026, the Company filed a prospectus supplement pursuant to Rule 424(b) under the Securities Act of 1933, as amended, relating to the offering of securities pursuant to the Company’s effective Registration Statement on Form S-3 (File No. 333-295667). The Company is filing this report to provide the legal opinion as to the validity of the securities being offered pursuant to the prospectus supplement. Such opinion is attached hereto as Exhibit 5.1.
