Item 5.07

Submission of Matters to a Vote of Security Holders.

The Registrant held its 2021 Annual Meeting at 11:00 AM, local time, on July 19, 2021, at Unit 911, Tower 2, Silvercord, 30 Canton Road, Tsimshatsui, Kowloon, Hong Kong. A total of 14,896,004 of the Registrant’s 19,341,529 shares of common stock were present in person or by proxy, representing a quorum of 77.02% of eligible voting shares outstanding.

Three proposals were submitted to and approved by the shareholders. The proposals were described in detail in the Registrant’s Definitive Proxy Statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on June 17, 2021 (“Proxy Statement”). The final results for the votes regarding each proposal are set forth below.

1. Shareholders elected five directors to the Registrant’s Board of Directors to hold office for a one-year term until the annual meeting of Shareholders in 2022 or until their successors are elected and qualified. The five people receiving a plurality of the vote of “For” votes were elected as directors: Hao Qinghu, Lionel Choong Khuat Leok, Wendy Wang Yingjie, William Yap Guan Hong and Zhao Yahui.

2. Shareholders ratified the selection of Centurion ZD CPA & Co. as independent registered public accounting firm for the fiscal year ending September 30, 2021. The votes regarding this proposal were as follows:

3. Shareholders approved the adoption of the Agreement and Plan of Merger by and between Moxian, Inc. and Moxian (BVI) Inc. The votes regarding this proposal were as follows:
