Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 14, 2024, the Compensation Committee of My Size, Inc. (the “Company”) granted restricted share awards under the Company’s 2017 Equity Incentive Plan to Ronen Luzon, Or Kles and Billy Pardo, pursuant to which they were issued 300,000 restricted shares, 150,000 restricted shares and 150,000 restricted shares, respectively. Each restricted share award is being made pursuant to a restricted stock award agreement (the “Agreement”). The restricted shares shall vest in three equal installments on January 1, 2025, January 1, 2026 and January 1, 2027, conditioned upon continuous employment with the Company, and subject to accelerated vesting upon a change in control of the Company. The foregoing summary of the Agreement is subject to and qualified in its entirety by reference to the text of the Agreement, which will be filed as an exhibit to the Company’s next Annual Report on Form 10-K.
