Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 9, 2025, Bruce C. Gottwald notified the Board of Directors (the “Board”) of NewMarket Corporation (the “Company”) that he will retire from the Board effective immediately. Mr. Gottwald’s retirement is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company is grateful to Mr. Gottwald for his many years of distinguished service to the Company.
