Other Events.

On June 26, 2024, Norwood Financial Corp announced that its Board of Directors had declared a quarterly cash dividend of $0.30 per share payable on August 1, 2024, to stockholders of record as of July 15, 2024. A copy of the press release dated June 26, 2024, announcing the dividend is included as Exhibit 99.1 to this report and is incorporated herein by reference.
