Other Events.

On July 1, 2025, the previously announced Collaboration and License Agreement, dated as of May 13, 2025 (the “Collaboration Agreement”), by and between Septerna, Inc. (the “Company”) and Novo Nordisk A/S, became effective following the early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended.

A summary of the terms of the Collaboration Agreement is set forth in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on May 14, 2025, which summary is qualified in its entirety by reference to the full text of the Collaboration Agreement, a copy of which the Company intends to file as an exhibit to its Quarterly Report on Form 10-Q for the quarter ended June 30, 2025.
