5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 16. 2023, Rohit Makharia transitioned from his role as Chief Operating Officer of SES AI Corporation (the “Company”) into a new executive leadership role of Chief Strategy Officer. Mr. Makharia will continue to report directly to the Company’s Chief Executive Officer and focus on identifying, evaluating and negotiating strategic technical partnerships. Mr. Makharia will continue to serve as President of the Company. There are no changes to Mr. Makharia’s compensatory arrangements in connection with this transition of his role and responsibilities.
