Item 2.02.

Results of Operations and Financial Condition.

On May 6, 2024, SHF Holdings, Inc. (the “Company”) issued a press release announcing that management would discuss its earnings and other financial results for the first quarter ended March 31, 2024 in a webcast conference call at 4:30 pm Eastern time on May 13, 2024 following the release of the Company’s financial results. On May 13, 2024, in conjunction with the release of the Company’s first quarter results, the Company issued its first quarter 2024 earnings press release. The May 13, 2024 earnings press release is attached as Exhibits 99.1.

Exhibit 99.1 is being furnished and will not be deemed to be filed for purposes of Section 18 of the Securities Exchange Act of 1934 as amended (the “Exchange Act”), or otherwise be subject to the liabilities of that section, nor will it be deemed to be incorporated by reference in any filing under the Securities Act or the Exchange Act.
