Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 3, 2025, Mr. Tyler Beuerlein notified SHF Holdings, Inc. (the “Company”) of his decision to resign from his position as the Chief Strategic Business Development Officer, effective March 17, 2025. Mr. Beuerlein’s resignation was not in connection with any known disagreement with the Company or any matter relating to the Company’s operations, policies, or practices.
