Other Events.

On March 19, 2024, Synopsys, Inc. (“Synopsys”) and ANSYS, Inc. (“Ansys”) mutually agreed to designate Dr. Ajei Gopal, the current President and Chief Executive Officer of Ansys, to become a member of the board of directors of Synopsys upon consummation of Synopsys’ pending acquisition of Ansys in accordance with the terms and conditions of the Agreement and Plan of Merger (the “Merger Agreement”) by and among Synopsys, Ansys and ALTA Acquisition Corp., dated January 15, 2024, subject to completion of Synopsys’ director nomination process and satisfaction of all applicable eligibility requirements established by Synopsys’ Corporate Governance and Nominating Committee. Synopsys and Ansys agreed to select two members of Ansys’ board of directors to become members of Synopsys’ board of directors at the consummation of the acquisition pursuant to the Merger Agreement, and the second member will be determined at a later date based on mutual agreement of Synopsys and Ansys. Synopsys and Ansys believe Dr. Gopal will bring valuable expertise to Synopsys’ board of directors having served as the Chief Executive Officer of Ansys since 2017 and given his extensive background in both technology and senior management of large software and technology companies, and will help facilitate the integration of the companies post-closing.
