Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 12, 2026, Synopsys, Inc. (“Synopsys”) announced that Janet Lee will no longer serve as Synopsys’ General Counsel and Corporate Secretary, effective as of the earlier of (i) December 31, 2026, and (ii) the appointment of her successor. Thereafter, Ms. Lee will transition to an advisory role and will continue in that role until June 30, 2027, or such later date as determined by Synopsys, to ensure a smooth transition.
