ITEM 8.01 OTHER EVENTS.

On February 3, 2026, Webster Financial Corporation (“Webster”) issued a press release announcing the execution of a definitive transaction agreement pursuant to which, on the terms and subject to the conditions set forth therein, Banco Santander, S.A. will acquire Webster in a cash-and-stock transaction.

A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
