Item 8.01

Other Events.

As previously disclosed, ZeroFox Holdings, Inc., a Delaware corporation (“ZeroFox” or the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”), dated as of February 6, 2024, by and among the Company, ZI Intermediate II, Inc., a Delaware corporation (“Parent”), and HI Optimus Merger Sub, Inc., a Delaware corporation and a wholly-owned subsidiary of Parent (“Merger Sub”), pursuant to which, and on the terms and subject to the conditions thereof, Merger Sub will merge with and into the Company, with the Company surviving the Merger as a wholly-owned subsidiary of Parent (the “Merger”).

On May 3, 2024, the Company confirmed that all regulatory approvals required in connection with the previously announced Merger Agreement have been received.

The stockholders of ZeroFox adopted the Merger Agreement at a special meeting held on April 30, 2024. The Merger is currently expected to close on May 13, 2024, subject to the satisfaction of customary closing conditions.
