Explanatory Note

This Amendment No. 1 on Form 8-K/A (this “Amendment”) is being filed by Biofrontera Inc. (the “Company”) to amend the Current Report on Form 8-K filed by the Company with the Securities and Exchange Commission on March 26, 2024 (the “Original Form 8-K”). The Original Form 8-K reported, among other things, that the Company had established April 22, 2024 as the record date for the determination of stockholders entitled to notice of and to vote at its 2024 Annual Meeting of Stockholders to be held on June 12, 2024 (the “2024 Annual Meeting”). This Amendment is being filed solely to report that the Company has changed the record date from April 22, 2024 to April 15, 2024.

On April 3, 2024, the Company changed the record date for the determination of stockholders entitled to notice of and to vote at the 2024 Annual Meeting from April 22, 2024, as reported in the Original Form 8-K, to April 15, 2024.
