Explanatory Note: This Amendment No. 1 (“Amendment No. 1”) to the Form 8-K filed by Cinedigm Corp. on August 10, 2021 (the “Form 8-K”) is being filed to file as Exhibit 10.2 the form of Notice of Restricted Stock Award under Cinedigm Corp.’s 2017 Equity Incentive Plan. This Amendment No. 1 does not amend any other item of the Form 8-K. The information previously reported in or filed with the Form 8-K is hereby incorporated by reference to this Amendment No. 1.
