NOTICE OF SPECIAL MEETING OF STOCKHOLDERS

February 9, 2024

Dear Stockholder:

You are cordially invited to attend a special meeting of stockholders of Fisker Inc. (the “Company”). The special meeting will be held on Tuesday, March 5, 2024 at 8:00 a.m., Pacific Time, online via live webcast available at www.virtualshareholdermeeting.com/FSR2024SM (such meeting, including any adjournment or postponement thereof, the “Special Meeting”) for the following purposes:

1. To approve, for purposes of the rules of the New York Stock Exchange (the “NYSE”), the potential issuance of more than 19.99% of the outstanding shares of Class A Common Stock, par value $0.00001 per share (the “Class A Common Stock”), upon conversion of the Incremental Notes as described below (the “Stock Issuance Proposal”); and

2. To adopt an amendment to the Company’s Second Amended and Restated Certificate of Incorporation, as amended (the “Charter”) to increase the total number of shares of Class A Common Stock that the Company will have authority to issue from 1,250,000,000 shares to 2,000,000,000 shares (the “Authorized Shares Proposal” and, collectively with the Stock Issuance Proposal, the “Proposals”).

The form of amendment implementing the Authorized Shares Proposal is attached to this proxy statement as Annex A.

The Proposals are being submitted to the Company’s stockholders in connection with the transaction described below, which contemplates potential issuances of additional shares of Class A Common Stock by the Company upon conversion of the Incremental Notes (as defined below), which would require approval of our stockholders pursuant to Section 312.03 of the NYSE Listing Manual.

Specifically, on July 10, 2023, the Company entered into a Securities Purchase Agreement (the “Original Purchase Agreement”) with an institutional investor (the “Investor”) for a registered direct offering of $340,000,000 in aggregate principal amount of senior convertible notes due 2025 (the “Series A-1 Notes”). The Series A-1 Notes were issued at an original issue discount of approximately twelve percent (12%) resulting in gross proceeds to the Company of $300,000,000.

Pursuant to the terms of the Original Purchase Agreement, during a sixth-month period beginning on the one-year anniversary of the issuance of the Series A-1 Notes and ending on the eighteen-month anniversary of the issuance of the Series A-1 Notes (the “AIR Period”), the Investor could purchase up to an additional $226,666,667 in aggregate principal amount of senior convertible notes due two years after the date of issuance (the “Investor AIR Notes”) in one or more registered direct offerings. If the Investor elected, during the AIR Period, to purchase the full amount of Investor AIR Notes, the Company could, at its option, require the Investor to purchase up to an additional $113,333,333 in aggregate principal amount of senior convertible notes due two years after the date of issuance (the “Issuer AIR Notes” and, together with the Investor AIR Notes, the “Additional Notes”).

On August 30, 2023, we held a special meeting of stockholders where our stockholders approved the potential issuance of more than 19.99% of the outstanding shares of Class A Common Stock issuable upon conversion of (i) the $340,000,000 in aggregate principal amount of Series A-1 Notes and (ii) the $340,000,000 in aggregate principal amount of Additional Notes issuable pursuant to the Original Purchase Agreement.

On September 29, 2023, the Company and the Investor entered into Amendment No. 1 to the Original Purchase Agreement (the “Purchase Agreement Amendment” and, together with the Original Purchase

Agreement, the “Securities Purchase Agreement”), in order to, among other things:

Increase the aggregate principal amount of Investor AIR Notes available for purchase to $566,666,667, to be purchased at any time after (A) with respect to the initial $170,000,000 of Investor AIR Notes, September 27, 2023, (B) with respect to the next $226,666,667 of Investor AIR Notes, December 29, 2023 or (C) with respect to the remaining $170,000,000 of Investor Air Notes, March 29, 2024; and

•

Increase the aggregate principal amount of Issuer AIR Notes to $226,666,667.

On September 29, 2023, pursuant to the terms of the Securities Purchase Agreement, the Company issued $170,000,000 of Additional Notes, as Series B-1 senior convertible notes due 2025 (the “Series B-1 Notes”) in a registered direct offering to the Investor. The Series B-1 Notes were issued at an original issue discount of approximately twelve percent (12%) resulting in gross proceeds to the Company of $150,000,000. Both the Series A-1 Notes and the Series B-1 Notes were issued pursuant to that certain Indenture dated July 11, 2023, by and between the Company and Wilmington Savings Fund Society, FSB, as the trustee (the “Trustee”), as supplemented by that certain First Supplemental Indenture and Second Supplemental Indenture, respectively (collectively, the “Indenture”).

As a result of the Purchase Agreement Amendment, the Company may now offer an incremental $340,000,000 in aggregate principal amount of Investor AIR Notes and $113,333,334 in aggregate principal amount of Issuer AIR Notes (such incremental Investor AIR Notes and Issuer AIR Notes, the “Incremental Notes”). Given this increase in aggregate principal amount of Additional Notes that may be issued pursuant to the Securities Purchase Agreement, we have agreed to seek and obtain stockholder approval at a special meeting (no later than March 8, 2024), in order to (x) approve the potential issuance of more than 19.99% of the outstanding shares of Class A Common Stock upon conversion of the Incremental Notes in compliance with the rules and regulations of the NYSE and (y) increase the authorized shares of Class A Common Stock of the Company from 1,250,000,000 to 2,000,000,000.

On November 22, 2023, the Company, along with certain of its subsidiaries, and the Trustee entered into a third supplemental indenture (the “Third Supplemental Indenture”) to the Indenture pursuant to which, among other things, the Company agreed to secure the obligations under the Series A-1 and B-1 Notes pursuant to a pledge agreement dated as of November 22, 2023, in favor of the Investor as collateral agent (the “Original Pledge Agreement”) and a security agreement, to be entered into by and among the Company, the Investor and certain subsidiaries of the Company and such other security documents and certificates as specified in the Original Pledge Agreement, including guaranties executed by certain subsidiaries of the Company. Subsequently, on December 28, 2023, the Company and certain of its direct and indirect wholly owned subsidiaries entered into an Amended and Restated Security and Pledge Agreement (the “Amended Pledge Agreement”), in favor of the Investor as collateral agent, pursuant to which the entirety of the Original Pledge Agreement was amended and restated to, among other things, amend and define the scope of the security interest created by the Original Pledge Agreement in all of the existing and future assets of the Company and certain of its subsidiaries. In addition, on December 28, 2023, certain subsidiaries of the Company entered into a guaranty agreement (the “Guaranty”) in favor of the Investor as collateral agent, pursuant to which, among other things, such subsidiaries have guaranteed the Company’s outstanding obligations in respect of the Notes. This summary is qualified in its entirety by reference to the full text of the form of Third Supplemental Indenture, which is attached as an exhibit to the Company’s Quarterly Report on Form 10-Q for the period ended September 30, 2023 and to the form of Amended and Restated Security and Pledge Agreement and form of Guaranty, each of which is attached as an exhibit to the Company’s Current Report on Form 8-K filed on December 28, 2023.

On January 21, 2024, the Company and the Investor entered into a Second Amendment and Waiver Agreement (the “Second Waiver”), pursuant to which, among other things: (i) in connection with one or more future transactions with a strategic automotive partner, the Company has secured a release of all liens previously granted to the Investor on the intellectual property required by any such transactions, (ii) all financial covenants relating to the Company’s cash reserves were waived, and such unrestricted cash is now available for use in the operations of the Company; and (iii) the Company obtained a waiver of the use by the Investor of any remaining remedies arising from the Company’s previous late filing of its quarterly report on Form 10-Q for the quarter

ended September 30, 2023. This summary is qualified in its entirety by reference to the full text of the Second Waiver, the form of which is attached as an exhibit to the Company’s Current Report on Form 8-K filed on January 22, 2024.

The number of shares of Class A Common Stock underlying the Incremental Notes cannot be conclusively determined as of the date of this proxy statement since this number will be based on, among other things, the consideration which the Investor elects to receive for the Incremental Notes. While such number is uncertain, 390,804,598 shares of Class A Common Stock are issuable from time to time upon conversion or otherwise under the Incremental Notes, assuming we issue the full amount of the Incremental Notes and such Incremental Notes are converted at the Floor Price (as defined in the Notes), which would exceed the threshold set forth under Section 312.03 of the NYSE Listing Manual.

The Board of directors of the Company (the “Board”) has: (a) approved, adopted and ratified the consummation by the Company of the transactions described above and (b) recommended that the Company’s stockholders approve the Proposals at the Special Meeting. Accordingly, the Board recommends that you vote “FOR” each of the Proposals.

The close of business on February 8, 2024 is the record date for determining stockholders who are entitled to receive notice of, and to vote at, the Special Meeting. This Notice of Special Meeting and the accompanying proxy statement are first being distributed on or about February 9, 2024. 3. What will happen if the Proposals are not approved?

Unless we obtain the approval of our stockholders in accordance with the rules and regulations of the NYSE, a maximum of 77,068,750 shares of our Class A Common Stock (19.99% of the outstanding shares of our Class A Common Stock on January 23, 2024) will be issuable upon conversion or otherwise pursuant to the terms of the Incremental Notes.

If we are unable to obtain approval of the Stock Issuance Proposal, we will be unable to issue shares of Class A Common Stock upon conversion of the Incremental Notes, as applicable, to the extent such issuance would exceed 19.99% of the outstanding shares of our Class A Common Stock. If we are unable to obtain approval of the Authorized Shares Proposal, we will be unable to issue shares of Class A Common Stock upon conversion of the Incremental Notes to the extent such issuance would exceed the total number of shares authorized pursuant to our Charter. The Special Meeting will be conducted virtually via live webcast available at www.virtualshareholdermeeting.com/FSR2024SM. You are entitled to participate in the Special Meeting if you were a stockholder on February 8, 2024 (the “Record Date”) or hold a valid proxy for the Special Meeting.

To be admitted to the Special Meeting via live webcast, you must enter the 16-digit control number found next to the label “Control Number” on your Notice/proxy card. If you do not have your 16-digit control number, you will be able to login as a guest but will not be able to vote your shares during the Special Meeting.

You may begin to log in to the meeting platform beginning at 7:45 a.m., Pacific Time, on March 5, 2024. The meeting will begin promptly at 8:00 a.m., Pacific Time, on March 5, 2024.

8. Who is entitled to vote at the Special Meeting?

Stockholders of record as of the close of business on the Record Date are entitled to receive notice of, to attend and participate, and to vote at the Special Meeting. At the close of business on the Record Date, there were 402,816,178 shares of Class A Common Stock and 132,354,128 shares of Class B Common Stock outstanding and entitled to vote.

Stockholder of Record: Shares Registered in Your Name

If your shares are registered directly in your name with our transfer agent, Computershare Trust Company (“Computershare”), you are considered the stockholder of record with respect to those shares, and the Notice or these proxy materials will be sent directly to you by Fisker.

Beneficial Owner of Shares Held in Street Name: Shares Registered in the Name of a Broker or Nominee

If your shares are held in an account at a brokerage firm, bank, broker-dealer, or other similar organization, then you are the “beneficial owner” of shares held in “street name” and the Notice or these proxy materials were forwarded to you by that organization. The organization holding your account is considered the stockholder of record for purposes of voting at the Special Meeting. As a beneficial owner, you have the right to instruct that organization on how to vote the shares held in your account. Because you are not the stockholder of record, you

may not vote your shares at the Special Meeting unless you request and obtain a valid proxy from the organization that holds your shares giving you the right to vote the shares at the Special Meeting. Beneficial owners must obtain a valid proxy from the organization that holds their shares and present it to Computershare at least three business (3) days in advance of the Special Meeting.

9. Who is soliciting my vote pursuant to this Proxy Statement and who will bear the cost of this proxy solicitation?

The proxy for the Special Meeting is being solicited on behalf of our Board. We will pay the cost of preparing, assembling, printing, mailing and distributing these proxy materials and soliciting votes. We may, on request, reimburse brokerage firms and other nominees for their expenses in forwarding proxy materials to beneficial owners. In addition to soliciting proxies by mail, we expect that our directors, officers and employees may solicit proxies in person or by telephone or facsimile. None of these individuals will receive any additional or special compensation for doing this, although we may reimburse these individuals for their reasonable out-of-pocket expenses. We do not expect to, but have the option to, retain a proxy solicitor. If you choose to access the proxy materials or vote via the Internet or by phone, you are responsible for any Internet access or phone charges you may incur.

10. How can I vote my shares of Common Stock at the Special Meeting?

You may vote by mail or follow any alternative voting procedure (such as telephone or internet voting) described on your proxy card. To use an alternative voting procedure, follow the instructions on each Notice and/or proxy card that you receive. The procedures for voting are as follows:

If you are a stockholder of record, you may:

Votes submitted by telephone or through the internet must be received by 11:59 p.m. Eastern Time, on March 4, 2024. You may vote “FOR” or “AGAINST” or you may “ABSTAIN” from voting on any proposal to be voted on at the Special Meeting. Your shares will be voted as you specifically instruct. PURPOSE OF THE SPECIAL MEETING; BACKGROUND OF THE PROPOSALS

Background

Fisker is building a technology-enabled, capital-light automotive business model that we believe will be among the first of its kind and aligned with the future state of the automotive industry. This involves innovations in vehicle development, customer experience, and sales and service that improve the personal mobility experience through technological innovation, ease of use and flexibility. The Company brings the legendary design and product development expertise of Henrik Fisker—the visionary behind such iconic vehicles as the BMW Z8 sports car and the famed Aston Martin DB9 and V8 Vantage—to deliver high quality, sustainable, affordable electric vehicles that create a strong emotional connection with customers. Central to our business model is the Fisker Flexible Platform Agnostic Design, a proprietary process that allows the design and development of a vehicle to be adapted to any given EV platform in the specific segment size. The process focuses on creating industry leading vehicle designs that can be adapted to match the crucial hard points on an EV platform initially developed by a third-party. This, combined with rapid decision-making, focused supply chain management and outsourced manufacturing, reduces development cost and time to market, creating a new business model for the industry and one that gives Fisker a significant advantage in bringing vehicles to market faster, more efficiently, and with more modern and advanced technology than many competitors.

We had several business updates in August, September, October, and November 2023, including (i) the opening of the flagship customer lounge in Los Angeles, New York and several other cities across the United States and Europe; (ii) commencing global test drive events; (iii) the publishing of our annual ESG impact report; (iv) the achievement of producing over 10,000 vehicles; (v) the delivery of over 4,000 vehicles in 12 countries; (vi) completion of the homologation process in the US and Europe for the Fisker Ultra trim; (vii) bolstering the balance sheet with a successful offering of $170.0 million in aggregate principal of 0% senior convertible notes due in 2025; (viii) the adjustment of Fisker Ocean Extreme, Ultra, and Sport trim pricing.

Our focus during this industrialization phase is to ensure process readiness, tooling maturity, part validation, volume ramp up, software maturity, and streamline logistics. Our suppliers are subject to external factors that could impact their ability to ramp output of components for our vehicles at high quality levels. For example, during the third quarter, one supplier experienced financial hardship and Fisker provided financial assistance to support our production needs. Our key supply chain partners are concentrated within an umbrella group of companies, and we are dependent upon their operational performance. Our ability to reach expected run rates is contingent upon key suppliers’ ability to mature software and components and the ability of our manufacturing partner to successfully ramp production at required quality levels. We continue to work with our suppliers and our manufacturing partner as we prepare for higher volumes in 2024.

Transaction

The conversion of the Incremental Notes contemplates potential issuances of additional shares of Class A Common Stock by the Company, which would require approval of our stockholders pursuant to Section 312.03 of the NYSE Listing Manual.

Specifically, on July 10, 2023, the Company entered into the Original Purchase Agreement whereby the Company issued to the Investor $340,000,000 in aggregate principal amount of Series A-1 Notes. The Series A-1 Notes were issued at an original issue discount of approximately twelve percent (12%) resulting in gross proceeds to the Company of $300,000,000.

Pursuant to the terms of the Original Purchase Agreement, during a sixth-month period beginning on the one-year anniversary of the issuance of the Series A-1 Notes and ending on the eighteen-month anniversary of the issuance of the Series A-1 Notes, the Investor could purchase up to an additional $226,666,667 in aggregate principal amount of Investor AIR Notes in one or more registered direct offerings. If the Investor elected, during the AIR Period, to purchase the full amount of Investor AIR Notes, the Company could, at its option, require the Investor to purchase up to an additional $113,333,333 in aggregate principal amount of Issuer AIR Notes.

On August 30, 2023, we held a special meeting of stockholders where our stockholders approved the potential issuance of more than 19.99% of the outstanding shares of Class A Common Stock pursuant to the conversion of (i) the $340,000,000 in aggregate principal amount of Series A-1 Notes and (ii) the $340,000,000 in aggregate principal amount of Additional Notes issuable pursuant to the Original Purchase Agreement.

On September 29, 2023, the Company and the Investor entered into Purchase Agreement Amendment in order to, among other things:

Increase the aggregate principal amount of Issuer AIR Notes to $226,666,667.

On September 29, 2023, pursuant to the terms of the Securities Purchase Agreement, the Company issued $170,000,000 of Series B-1 Notes in a registered direct offering to the Investor. The Series B-1 Notes were issued at an original issue discount of approximately twelve percent (12%) resulting in gross proceeds to the Company of $150,000,000. Both the Series A-1 Notes and the Series B-1 Notes were issued pursuant to the Indenture.

As a result of the Purchase Agreement Amendment, the Company may now offer an incremental $340,000,000 in aggregate principal amount of Investor AIR Notes and $113,333,334 in aggregate principal amount of Issuer AIR Notes. Given this increase in aggregate principal amount of Additional Notes that may be issued pursuant to the Securities Purchase Agreement, we have agreed to seek and obtain stockholder approval at a special meeting (no later than March 8, 2024), in order to (x) approve the potential issuance of more than 19.99% of the outstanding shares of Class A Common Stock upon conversion of the Incremental Notes in compliance with the rules and regulations of the NYSE and (y) increase the authorized shares of the Class A Common Stock of the Company from 1,250,000,000 to 2,000,000,000.

On November 22, 2023, the Company, along with certain of its subsidiaries, and the Trustee entered into the Third Supplemental Indenture, pursuant to which, among other things, the Company agreed to secure the obligations under the Series A-1 and B-1 Notes pursuant to the Original Pledge Agreement and a security agreement, to be entered into by and among the Company, the Investor and certain subsidiaries of the Company and such other security documents and certificates as specified in the Original Pledge Agreement, including guaranties executed by certain subsidiaries of the Company. Subsequently, on December 28, 2023, the Company and certain of its direct and indirect wholly owned subsidiaries entered into the Amended Pledge Agreement, in favor of the Investor as collateral agent, pursuant to which the entirety of the Original Pledge Agreement was amended and restated to, among other things, amend and define the scope of the security interest created by the Original Pledge Agreement in all of the existing and future assets of the Company and certain of its subsidiaries. In addition, on December 28, 2023, certain subsidiaries of the Company entered into the Guaranty in favor of the Investor as collateral agent, pursuant to which, among other things, such subsidiaries have guaranteed the Company’s outstanding obligations in respect of the Notes. PROPOSAL 1—THE STOCK ISSUANCE PROPOSAL

The Board approved and recommends that the Company’s stockholders adopt a proposal to approve, for purposes of the rules of NYSE, the potential issuance of more than 19.99% of the outstanding shares, of Class A Common Stock upon conversion of the Incremental Notes. The number of shares of Class A Common Stock underlying the Incremental Notes cannot be conclusively determined as of the date of this proxy statement since this number will be based on, among other things, the consideration which the Investor elects to receive for the Incremental Notes. While such number is uncertain, 390,804,598 shares of Class A Common Stock are issuable from time to time upon conversion or otherwise under the Incremental Notes, assuming we issue the full amount of the Incremental Notes and such Incremental Notes are converted at the Floor Price (as defined in the Notes), which would exceed the threshold set forth under Section 312.03 of the NYSE Listing Manual.

Reason for Request for Stockholder Approval

The Class A Common Stock is listed on NYSE and, as a result, the Company is subject to the rules and regulations of NYSE. PROPOSAL 2—THE AUTHORIZED SHARES PROPOSAL

The Board approved, declared advisable and recommends that the Company’s stockholders approve a proposal to amend the Charter, in the form attached to this Proxy Statement as Annex A, to increase the total number of shares of Class A Common Stock that the Company will have authority to issue from 1,250,000,000 shares to 2,000,000,000 shares.

Reason for Request for Stockholder Approval

Article IV of the Charter currently authorizes the Company to issue 1,415,000,000 shares of total capital stock, comprising 1,250,000,000 shares of Class A Common Stock, 150,000,000 shares of Class B Common Stock and 15,000,000 shares of preferred stock, par value $0.00001 per share (the “Preferred Stock”). As of January 23, 2024, there were 385,536,519 shares of Class A Common Stock issued and outstanding.

Up to 390,804,598 shares of Class A Common Stock are issuable from time to time upon conversion or otherwise under the Incremental Notes, assuming we issue the full amount of the Incremental Notes and such Incremental Notes are converted at the Floor Price (as defined in the Notes). The number of shares that will be issued will depend on, among other things, the consideration which the Investor elects to receive, the consideration which the Company elects to use to make amortization payments under the Note and the conversion price for either of those instances.

The increase in authorized shares of Class A Common Stock will enable the Company to have the reserves required pursuant to the terms of the Securities Purchase Agreement and the Incremental Notes. We have not proposed the increase in the authorized number of shares of Class A Common Stock with the intention of using the additional shares for anti-takeover purposes, although we could theoretically use the additional shares to make more difficult or to discourage an attempt to acquire control of the Company.

Effect of Vote in Favor of the Authorized Shares Proposal

If the Authorized Shares Proposal is approved by the Company’s stockholders, the Company intends to file the Charter Amendment with the Secretary of State of Delaware as soon as practicable thereafter. The Board may, at any time prior to effectiveness, abandon the Charter Amendment without further action by the stockholders or the Board (even if the requisite stockholder vote is obtained).

The additional shares of Class A Common Stock authorized by the Charter Amendment would become part of the existing class of the Class A Common Stock and, if and when issued, would have the same rights and

privileges as the shares of Class A Common Stock currently authorized and outstanding. The Charter Amendment will not affect the par value of the Class A Common Stock, which will remain at $0.00001 per share. Henrik Fisker and Dr. Geeta Gupta-Fisker, Fisker’s co-founders, members of our Board and Chief Executive Officer and Chief Financial Officer, respectively, hold all of the issued and outstanding shares of our Class B Common Stock. Accordingly, Mr. Fisker and Dr. Gupta-Fisker hold approximately 77% of the voting power of Fisker’s capital stock on an outstanding basis and are able to control matters submitted to its stockholders for approval. So long as the Class B Stockholders retain their voting power, they will continue to have the ability to influence, directly or indirectly, and subject to applicable law, all matters affecting us, including:

any determination with respect to our business direction and policies, including the appointment and removal of officers and directors;

•

any determinations with respect to mergers, business combinations, disposition of assets and any future refinancing or restructuring transaction;

•

compensation and benefit programs and other human resources policy decisions;

•

the payment of dividends on Common Stock; and

•

determinations with respect to tax matters.

Since the interests of the Class B Stockholders may differ from ours or from those of the Company’s other stockholders, actions that the Class B Stockholders take with respect to us, as the Company’s controlling stockholders, may not be favorable to us or our other stockholders, including holders of Class A Common Stock.

The Board was aware of and considered these interests, among other matters, in evaluating the transactions described herein and (a) approved, adopted and ratified the consummation by the Company of the transactions and (b) recommended that the Company’s stockholders approve the Proposals at the Special Meeting.

Controlling stockholders may exert influence over our management and affairs and control over votes requiring stockholder approval.

Certain stockholders own a significant portion of our Common Stock. Therefore, these entities may be able to exert influence over our management and policies and may have significant voting influence on votes requiring stockholder approval. The Investor may receive a substantial number of shares of Class A Common Stock. The Investor may seek to sell their shares. Other stockholders may also seek to sell the shares of Class A Common Stock held by them following, or in anticipation of, completion of the transactions described herein. Sales of substantial amounts of Class A Common Stock in the public market, or the perception that these sales could occur, coupled with the increase in the outstanding number of shares of Class A Common Stock relative to shares of Class A Common Stock outstanding as of the date of this Proxy Statement, could cause the market price of Class A Common Stock to decline.

The terms of the Series A-1 Notes, Series B-1 Notes and the Additional Notes restrict our current and future operations, particularly our ability to respond to changes or take certain actions, including some of which may affect completion of our strategic plan.

Our obligations to the Investor pursuant to the Series A-1 and B-1 Notes are secured by a first priority security interest in all of the existing and future assets of the Company and certain of our subsidiaries, and if we default on those obligations, the Investor could foreclose on, liquidate and/or take possession of such assets. If that were to happen, we could be forced to curtail, or even to cease, our operations.

On December 28, 2023, the Company and certain of its direct and indirect wholly owned subsidiaries entered into the Amended Pledge Agreement, in favor of the Investor as collateral agent, pursuant to which the entirety of the Original Pledge Agreement was amended and restated to, among other things, amend and define the scope of the security interest created by the Original Pledge Agreement in all of the existing and future assets of the Company and certain of its subsidiaries. In addition, on December 28, 2023, certain subsidiaries of the Company entered into the Guaranty in favor of the Investor as collateral agent, pursuant to which, among other things, such subsidiaries have guaranteed the Company’s outstanding obligations in respect of the Notes. As a result, if we default on our obligations under the Series A-1 and B-1 Notes, the Investor could foreclose on their security interest and liquidate or take possession of some or all of the assets of the Company and certain of our subsidiaries, which would harm our business, financial condition and results of operations and could require us to curtail, or even to cease our operations.

The market price of shares of Class A Common Stock will continue to fluctuate.

The market price of shares of Class A Common Stock has fluctuated significantly in response to numerous factors and will continue to fluctuate, and holders of the Company’s Common Stock could lose some or all of the value of their investment.

The number of shares of Class A Common Stock that will be issued upon conversion of the Incremental Notes cannot be conclusively determined as of the date of this Proxy Statement, since this number will be based on, among other things, the consideration which the Investor elects to receive for such notes.

Annual Meeting Advance Notice Requirements and Stockholder Proposals

The Bylaws establish an advance notice procedure for stockholders wishing to directly nominate a director candidate or to present business to be conducted at the Company’s 2024 annual meeting of stockholders (“2024 Annual Meeting”).
