Mining Journal – NovaGold consolidates Donlin

NovaGold Resources has agreed to buy out Paulson Advisers' 40% interest in Donlin Gold in an all-share transaction, increasing its stake from 60% to 100%.

Under the agreement, existing NovaGold shareholders will own 65% of the shares and Paulson 35%.

Paulson's existing equity ownership in NovaGold means the firm will own 40% of the new company, while its voting interest would be capped at 19.99%. The new entity will be co- chaired by Thomas Kaplan and John Paulson.

The transaction is expected to close before the year's end and will require approval by NovaGold Resources shareholders.

"This is a sensible thing to do and accretive for NovaGold shareholders because of the discount that we are picking it up for. This new structure simplifies the management of the asset, streamlines processes, and helps advance the project more expeditiously," NovaGold chief executive Greg Lang told Mining Journal.

A new company, called NovaGold Corporation, would be listed on the NYSE, with an anticipated market capitalisation of about US$4.2 billion.

"Novagold will be redomiciled to the US, the home of Donlin Gold, which is quite simply the best jurisdiction in the world for gold investors," John Paulson said.

Donlin Gold is a development-stage project in Alaska, US, with a projected annual production of 1.3Mozpa during its first decade of operation and 1.1Mozpa over its 27- year mine life.

Donlin hosts more than 16Moz of measured and indicated gold resources, inclusive of 13Moz of proven and probable reserves.

Paulson Advisers and Novagold Resources consolidated ownership of Donlin in April 2025 by buying a 50% interest from Barrick Mining for $1 billion in cash. Under that deal, NovaGold acquired a 10% interest for $200 million to increase its ownership interest from 50% to 60%, with Paulson acquiring a 40% interest for $800 million.

Under the Barrick deal, the gold major granted NovaGold an option to purchase the outstanding debt owed to it in connection with Donlin for $100 million at no interest, with the company having until the end of the year to decide to do so.

"We see no reason to pay this off before the end of the year, but we do intend to pay it this year," Lang said.

Lang added that the feasibility study is progressing on schedule and is expected to be completed in the March quarter of 2027. This will include the development of a natural gas pipeline and power plant, as well as an autoclave.

Permitting for the project is almost complete, with all federal and most state permits in hand.

"The one remaining permit is for the tailings dam and other water structures, which are state permits, but this is not on the critical path right now," Lang said.

Shares in NovaGold Resources opened up 7% at $6.03, valuing the company at $2.6 billion.
