The Marygold Companies, Inc. (the “Company”) is filing the attached form of proxy card as an amendment to the Company’s Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on September 23, 2026 (the “Proxy Statement”). The form of proxy card was inadvertently omitted from the Proxy Statement as filed.

The form of proxy card is attached hereto. No changes have been made to the Proxy Statement. This Schedule 14A is being filed solely to correct the EDGAR filing to include the form of proxy card.
