The Registrant requires additional time to complete the audit review and confirmation process necessary for completion of its audit for its fiscal year ended June 30, 2026. As a result, the Company is unable to timely file its Annual Report on Form 10-K for the fiscal year ended June 30, 2026 (the “Form 10-K”) by the prescribed filing deadline without incurring unreasonable effort or expense. The Registrant intends to file the Form 10-K as soon as practicable and, in any event, within the 15-day extension period allowed under Rule 12b-25.

The Company currently expects its results of operations for the fiscal year ended June 30, 2026 to reflect a significant change as compared to the fiscal year ended June 30, 2025. Based on preliminary, unaudited results, the Company expects to report a net loss attributable to iPower Inc. of approximately $11.6 million for the fiscal year ended June 30, 2026, compared with an approximately $5.0 million loss for the fiscal year ended June 30, 2025. The increase in net loss was primarily attributable to a significant decrease in revenues and gross profit, as well as goodwill impairment and losses associated with the extinguishment of convertible notes and digital assets, partially offset by reductions in operating expenses and certain other income. The Company’s financial results for the fiscal year ended June 30, 2026 remain subject to completion of the audit and may change as a result of final audit adjustments.
