Cloudastructure, Inc., a Delaware corporation (the “Company”), was unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarter period ended June 30, 2026, on or prior to its original due date, August 14, 2026, because it required additional time to complete the review of its financial statements.

The Company expects to file the Form 10-Q within the five-calendar-day extension period provided by Rule 12b-25 under the Securities Exchange Act of 1934, as amended.
