Flag Ship Acquisition Corp (the “Company”) is unable to file, without unreasonable effort and expense, its Quarterly Report on Form 10-Q for the period ended March 31, 2026 (the “Form 10-Q”) because it needs additional time to complete its final review of its financial statements and other disclosures in the Form 10-Q. As of the date of this Form 12b-25, the Registrant has not filed its Annual Report on Form 10-K for the fiscal year ended December 31, 2025, and is unable to confirm that it will be able to file the Form 10-Q within five (5) calendar days from the prescribed filing date.
