State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Diginex Limited (the “Company”) has determined that it is unable to file its Annual Report on Form 20-F for the fiscal year ended March 31, 2026 (the “Form 20-F”) within the prescribed time period without unreasonable effort or expense due to the reasons described below. The management of the Company has been working diligently to complete all of the required information for the Form 20-F, and a substantial part of such information has been completed as of this date. However, the Company requires additional time to prepare, review and finalize its financial statements to be included in the Form 20-F.

Based on preliminary information, as a result of three acquisitions which closed during the period covered by the Form 20-F, the Company expects to report revenues and expenses for the year ended March 31, 2026, which will be greater than the revenue and expenses reported for the year ended March 31, 2025, together with increases in goodwill and intangible assets associated with the three acquisitions on the March 31, 2026 balance sheet that were not included on the March 31,2025 balance sheet
