Xiao-I Corporation (the “Registrant”) was unable, without unreasonable effort or expense, to file its Annual Report on Form 20-F for the fiscal year ended December 31, 2025 (the “Annual Report”) by the due date, due to a delay experienced by the Registrant in completing its financial statements and other disclosures in the Annual Report. The Registrant is working diligently to complete the Annual Report and expects to file the Annual Report within the 15-calendar day extension provided by Rule 12b-25, but can provide no assurance that it will be able to file by such time.

The Company anticipates that its results of operations for the fiscal year ended December 31, 2025, as compared to the fiscal year ended December 31, 2024, will reflect significant changes.

However, the Company also anticipates a substantial increase in operating expenses and continued pressure on its liquidity position. These conditions are primarily attributable to the Company’s limited cash resources and its ongoing efforts to secure additional financing to support operations.
