EXPLANATORY NOTE / DEREGISTRATION OF SECURITIES

This Post-Effective Amendment No. 1 relates to the Registration Statement on Form S-4 (File No. 333-230599) of Partners Bancorp, a Maryland corporation (the “Registrant”), filed under its former name, Delmar Bancorp, with the U.S. Securities and Exchange Commission (the “Commission”) on March 29, 2019, as amended on May 10, 2019, June 20, 2019 and July 3, 2019 and declared effective by the Commission on July 5, 2019 (the “Registration Statement”). Pursuant to the Registration Statement, the Registrant registered the issuance of up to 8,180,264 shares of its common stock, $0.01 par value per share (the “Common Stock”), to the shareholders of Virginia Partners Bank, a Virginia chartered commercial bank (“Virginia Partners Bank”) upon the effectiveness of a share exchange with Virginia Partners Bank (the “Share Exchange”). Upon the consummation of the Share Exchange, effective November 15, 2019, Virginia Partners Bank became a wholly-owned subsidiary of the Registrant.

Effective November 30, 2023, pursuant to and in accordance with the Agreement and Plan of Merger, dated as of February 22, 2023, by and between the Registrant and LINKBANCORP, Inc., a Pennsylvania corporation (“LINK”), the Registrant merged with and into LINK (the “Merger”), with LINK continuing as the surviving corporation, and as successor in interest to the Registrant.

As a result of the Merger, LINK, as successor in interest to the Registrant, terminates any and all offerings of Registrant’s securities and interests pursuant to the Registration Statement and deregisters any and all securities and interests registered but unsold under the Registration Statement, if any, in accordance with an undertaking made by the Registrant in the Registration Statement to remove from registration by means of a post-effective amendment any of the securities that had been registered for issuance that remain unsold at the termination of the offering. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such securities and interests.
