Pursuant to General Instruction E to Form S-8, the Registrant is filing this Registration Statement with the U.S. Securities and Exchange Commission (the “Commission”) to register 7,700,000 additional common shares, par value CHF 0.08 per share, of the Registrant (the “Common Shares”), for issuance under the ADC Therapeutics SA 2019 Equity Incentive Plan (the “Plan”).
