STATEMENT PURSUANT TO GENERAL INSTRUCTION E TO FORM S-8

The purpose of this Registration Statement is to register the offer and sale of (a) 3,000,000 additional shares of common stock, $0.0001 par value per share (“Common Stock”), of FuelCell Energy, Inc. (the “Company” or the “Registrant”) in connection with the Company’s Sixth Amended and Restated 2018 Omnibus Incentive Plan, and (b) 300,000 additional shares of Common Stock in connection with the Company’s 2018 Employee Stock Purchase Plan, as amended and restated effective as of April 2, 2026.
