EXPLANATORY NOTE

Lexicon Pharmaceuticals, Inc. (the “Company”) previously filed registration statements on Form S-8 (Registration Nos. 333-41532, 333-168678, 333-183020, 333-210145, 333-217873, 333-234569, 333-240169, 333-258568, 333-273683 and 333-289310) registering the issuance of an aggregate of 77,000,000 shares of the Company’s common stock under its 2017 Equity Incentive Plan and an aggregate of 4,200,000 shares of the Company’s common stock under its 2017 Non-Employee Directors’ Equity Incentive Plan.

On April 30, 2026, the Company’s stockholders approved an amendment and restatement of the 2017 Equity Incentive Plan that renamed the plan the 2026 Equity Incentive Plan and increased the total number of shares of the Company’s common stock that may be issued pursuant to stock awards granted under the plan from 75,000,000 to 90,000,000 shares.

On April 30, 2026, the Company’s stockholders approved an amendment and restatement of the 2017 Non-Employee Directors’ Equity Incentive Plan that renamed the plan the 2026 Non-Employee Directors’ Equity Incentive Plan and increased the total number of shares of the Company’s common stock that may be issued pursuant to stock awards granted under the plan from 4,000,000 to 6,000,000 shares.

Pursuant to General Instruction E to Form S-8 under the Securities Act of 1933, as amended, this registration statement on Form S-8 is being filed by the Company for the purpose of registering the issuance of an additional 15,000,000 shares of the Company’s common stock under the 2026 Equity Incentive Plan and an additional 2,000,000 shares of the Company’s common stock under the 2026 Non-Employee Directors’ Equity Incentive Plan as a result of such increases in the number of shares reserved for issuance under the plans. This registration statement will increase the number of shares registered under the 2026 Equity Incentive Plan and 2026 Non-Employee Directors’ Equity Incentive Plan to 92,000,000 and 6,200,000 shares, respectively.
