EXPLANATORY NOTE

Post Reverse Stock Split - The Plan

This Registration Statement on Form S-8 is being filed by Next Technology Holding Inc. (the “Company” or the “Registrant”) to register additional shares of common stock of the Company, $0.0000 par value per share (the “Common Stock”) under the Next Technology Holding Inc. 2025 Equity Incentive Plan (the “Plan”) as a result of the proportionately reduced number of undistributed shares registered by the Prior S-8 (as defined below) due to the 2026 Reverse Stock Split (as defined below) effected after the Prior S-8.

The Registrant previously filed a Registration Statement on Form S-8 (File No. 333-288503) with the Securities and Exchange Commission (the “Commission”) on July 3, 2025, registering 80,000,000 shares of Common Stock issuable under the Plan (the “July 2025 S-8”). Thereafter, 70,000,000 shares of Common Stock were issued under the Plan and 10,000,000 shares of Common Stock remained available under the Plan. On September 16, 2025, the Registrant effectuated a 200-for-1 reverse stock split (the “2025 Reverse Stock Split”). As a result of the 2025 Reverse Stock Split, pursuant to Rule 416(b) under the Securities Act of 1933, as amended (the “Securities Act”), the number of undistributed shares of 10,000,000 deemed covered by the July 2025 S-8 was proportionately reduced to 50,000 shares.

On September 29, 2025, the Registrant filed a second Registration Statement on Form S-8 (File No. 333-290599) with the Commission, registering an additional 9,950,000 shares of Common Stock issuable under the Plan (the “September 2025 S-8” and, together with the July 2025 S-8, the “Prior S-8”), thereby restoring the aggregate number of shares registered and available for future issuance under the Plan to 10,000,000 shares.

On August 10, 2026, the Registrant effectuated a 100-for-1 reverse stock split (the “2026 Reverse Stock Split”) of its Common Stock. Pursuant to Rule 416(b) of the Securities Act, if prior to completion of the distribution of the securities covered by a registration statement, all the securities of a class which includes the registered securities are combined by a reverse split into a lesser amount of securities of the same class, the amount of undistributed securities of such class deemed to be covered by the registration statement shall be proportionately reduced.

Immediately prior to the 2026 Reverse Stock Split, of the 10,000,000 shares of Common Stock registered under the September 2025 S-8 and available for issuance under the Plan, 2,020,000 shares had been issued pursuant to awards granted under the Plan, and 7,980,000 shares remained available for future issuance. As a result of the 2026 Reverse Stock Split, the number of undistributed shares deemed covered by the Prior S-8 was proportionately reduced from 7,980,000 shares to 79,800 shares. Accordingly, the Registrant is filing this Registration Statement on Form S-8 to register an additional 7,900,200 shares of Common Stock issuable under the Plan so that the aggregate number of shares registered and available for future issuance under the Plan is restored to 7,980,000 shares.

Pursuant to General Instruction E to Form S-8, this Registration Statement is being filed for the purpose of registering additional securities of the same class as other securities for which a Registration Statement of the Company on Form S-8 relating to the Plan, is effective, and the Company’s Registration Statements on Form S-8 (File No. 333-288503) and Form S-8 (File No. 333-290599) previously filed with the Commission on July 3, 2025 and September 29, 2025, respectively, registering shares of Common Stock issuable under the Plan are incorporated by reference in this Registration Statement, except as supplemented by the information set forth below.
