EXPLANATORY NOTE

This Registration Statement on Form S-8 is filed by Nortech Systems Incorporated (the “Registrant”) to register shares of the Registrant’s common stock, $0.01 par value per share (the “Common Stock”), reserved for issuance under the Nortech Systems Incorporated 2026 Equity Incentive Plan (the “2026 Plan”). The 2026 Plan was approved by the Registrant’s shareholders on May 13, 2026.
