EXPLANATORY NOTE

This registration statement is filed by PAVmed Inc. (the “Company”) to register an additional 200,000 shares of the Company’s common stock issuable pursuant to the Company’s Third Amended and Restated Employee Stock Purchase Plan (the “Plan”), which are newly reserved for issuance under the Plan as a result of an amendment to the Plan approved by the Company’s board of directors and stockholders. This registration statement consists of only those items required by General Instruction E to Form S-8. The Company hereby incorporates by reference into this registration statement the contents of the prior registration statement on Form S-8 relating to the Plan, filed with the Securities and Exchange Commission (the “SEC”) on May 22, 2019 (File No. 333-231674), September 1, 2020 (File No. 333-248529), August 4, 2021 (File No. 333-258458), April 13, 2022 (File No. 333-264272), February 10, 2023 (File No. 333-269701), February 6, 2024 (File No. 333-276903), January 31, 2025 (File No. 333-284636), and April 2, 2026 (File No. 333-294839).
