EXPLANATORY NOTE

This registration statement on Form S-8 (this “Registration Statement”) is being filed by Phio Pharmaceuticals Corp. (the “Registrant”) to register 1,500,000 additional shares of the Registrant’s common stock, par value $0.0001 (the “Common Stock”), issuable under the Phio Pharmaceuticals Corp. amended and restated 2020 Long Term Incentive Plan, as amended (the “2020 Plan”).
