Pursuant to General Instruction E of Form S-8, Teladoc Health, Inc. (the “Registrant” or “Teladoc Health”) is filing this Registration Statement with the Securities and Exchange Commission (the “SEC”) to register 6,850,000 additional shares of common stock, par value $0.001 per share (“Common Stock”), under the Registrant’s 2023 Incentive Award Plan, as amended. The 2023 Incentive Award Plan was originally approved by the Registrant's stockholders in May 2023 and an amendment to increase the number of shares available for issuance by 6,850,000 shares was approved by the Registrant’s stockholders in May 2025. This Registration Statement hereby incorporates by reference the contents of the Registrant’s previous registration statement on Form S-8 filed with the Commission on May 30, 2023 (Registration No. 333-2 72279 ) to the extent not modified or superseded hereby. In accordance with the instructional note of Part I of Form S-8 as promulgated by the SEC, the information specified by Part I of Form S-8 has been omitted from this Registration Statement.
